SUBSCRIPTION AGREEMENT

THIS SUBSCRIPTION AGREEMENT (the "Agreement") is entered into between Synapse Mobility, Inc., a Delaware corporation ("Hive," "we," "us," or "our"), and you ("Customer," "you," or "your").
This Agreement governs your access to and use of Hive's websites, mobile applications, software platform, and related services (collectively, the "Service").
This Agreement supplements, and is incorporated into, our Terms of Use and Privacy Policy. This Agreement controls only as to fees, billing, renewals, refunds, free trials, and confidentiality. On every other subject — including limitation of liability, governing law, and the arbitration agreement and class action waiver — the Terms of Use control.

IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
1. DEFINITIONS
- "Account" means the customer account established to access the Service.
- "Authorized Users" means your employees, contractors, or agents authorized to use the Service.
- "Customer Data" means all data submitted to the Service by you or your customers.
- "Documentation" means user guides, knowledge base articles, and instructions provided by Hive.
- "Order" means a subscription order, checkout, or plan selection.
- "Subscription Term" means the period during which the Service is provided.
- "Third-Party Services" means integrations or services provided by third parties.
- "Aggregated Data" means anonymized, de-identified usage statistics.
2. SERVICE ACCESS AND USE
2.1 License Grant
Subject to this Agreement, Hive grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes during the Subscription Term.
2.2 Account Registration
You must provide accurate and complete information and keep credentials confidential. You are responsible for all activity under your Account.
2.3 Usage Restrictions
You may not:
- Reverse engineer or copy the Service
- Use the Service to build a competing product
- Share credentials
- Bypass security measures
- Perform penetration testing without written consent
- Use the Service unlawfully or abusively
Hive may monitor usage to enforce compliance.
3. CUSTOMER RESPONSIBILITIES
3.1 Customer Data
You retain ownership of Customer Data. You represent that you have all necessary rights and consents to submit Customer Data and authorize Hive to process it.
3.2 Inspector Disclaimer
Hive does not perform home inspections, provide professional advice, or supervise inspection services. You are solely responsible for inspections, reports, conclusions, and compliance with applicable laws.
3.3 Legal Compliance
You agree to comply with all applicable laws, including privacy, consumer protection, and export control regulations.
4. THIRD-PARTY SERVICES
The Service may integrate with Third-Party Services (for example, Stripe for payments, Google for calendar and sign-in, Twilio for text messaging, and third-party AI providers for AI features — see our Privacy Policy for the current list). Hive is not responsible for Third-Party Services and disclaims all liability related to them.
Payment disputes between you and your customers are your responsibility.
5. FEES, BILLING, AND TAXES
5.1 Fees
Fees are described in your Order and are non-refundable except as expressly stated.
5.2 Billing
Fees are billed in advance and automatically charged using your selected payment method.
5.3 Failed Payments
Hive may suspend or terminate access for non-payment.
5.4 Taxes
Fees exclude taxes. You are responsible for all applicable taxes except those on Hive's income.
5.5 Price Changes
Hive may modify pricing by giving you at least thirty (30) days' notice by email to the address on your Account before the change takes effect. Changes apply to billing cycles that begin after the notice period. If you do not agree to a price change, you may cancel before it takes effect.
6. FREE TRIALS
Free trials are optional, time-limited, and may be modified or terminated at any time. Hive provides no warranties during free trials. If a free trial requires a payment method, your subscription will automatically convert to a paid subscription at the then-current price for the plan you selected when the trial ends, unless you cancel through your Account before the trial ends. We will tell you the trial length and the price that will be charged before you start the trial.
7. INTELLECTUAL PROPERTY
7.1 Hive IP
Hive retains all rights in the Service, Documentation, and Aggregated Data.
7.2 Feedback
You grant Hive an unrestricted right to use feedback without compensation.
7.3 Customer Data License
You grant Hive a limited license to process Customer Data solely to provide and improve the Service.
8. TERM AND TERMINATION
8.1 Term
Automatic renewal. Subscriptions are billed in advance for a recurring term of one month (monthly plans) or one year (annual plans), as selected in your Order, and automatically renew for successive terms of the same length at the then-current price unless you cancel before the end of the current term. By subscribing you authorize Hive (through Stripe) to charge your payment method at the start of each renewal term.
How to cancel. You may cancel at any time from Billing settings in your Account or by emailing [email protected]. Cancellation takes effect at the end of the current term; you keep access until then and are not charged again.
Renewal reminders. For annual plans, and wherever applicable law requires it, we will send a reminder to the email address on your Account before the renewal charge. One-time purchases (such as report packages or website builds) do not renew.
8.2 Termination by Hive
Hive may suspend or terminate access for breach, legal requirements, or security risks.
8.3 Termination by Customer
You may cancel through your Account. No refunds for unused time.
8.4 Effect of Termination
Access ends immediately. Hive may delete Customer Data after a reasonable period.
9. CONFIDENTIALITY
Each party agrees to protect the other's confidential information and use it only as necessary to perform under this Agreement.
10. DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
HIVE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. LIMITATION OF LIABILITY
THE LIMITATION OF LIABILITY IN SECTION 18 OF THE TERMS OF USE APPLIES TO THIS AGREEMENT AND IS INCORPORATED HERE BY REFERENCE. IN SUMMARY, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW: HIVE IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OR LOST PROFITS OR DATA, AND HIVE'S TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF (A) $100 USD OR (B) THE AMOUNT YOU PAID TO HIVE FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
12. INDEMNIFICATION
You agree to indemnify and hold harmless Hive from claims arising from:
- Your use of the Service
- Your Customer Data
- Your inspections or professional services
- Your breach of this Agreement
13. DISPUTE RESOLUTION
13.1 Arbitration; Class Action Waiver
Any dispute arising out of or relating to this Agreement is governed by Section 22 (Arbitration; Class Action Waiver) of the Terms of Use, which is incorporated here by reference in full — including the agreement to arbitrate on an individual basis under the AAA rules, the jury trial waiver, the class action waiver, the small-claims and injunctive-relief exceptions, and your right to opt out of arbitration within 30 days of first accepting the Terms of Use by following the procedure in Section 22.10.
13.2 Governing Law
This Agreement is governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the arbitration provisions.
13.3 Venue
Arbitration will be conducted in Delaware or by remote proceedings, as provided in the Terms of Use. Any claim that is not subject to arbitration will be brought exclusively in the state or federal courts located in Delaware.
13.4 Injunctive Relief
Hive may seek injunctive relief for IP or security violations.
14. GENERAL TERMS
- Assignment: Customer may not assign without consent
- Force Majeure: Hive not liable for events beyond control
- Severability: Invalid provisions do not affect remainder
- Entire Agreement: This Agreement, together with the Terms of Use, the Privacy Policy, and your Order, is the entire agreement about its subject matter and supersedes prior agreements about that subject matter. It does not supersede or narrow the Terms of Use.
- Updates: Hive may update this Agreement by posting the revised version with a new "Last Updated" date and, for material changes, by notifying you by email or in the Service before the change takes effect. Changes apply to renewal terms that begin after the notice.
