PLEASE READ THESE TERMS OF USE CAREFULLY. BY ACCESSING OR USING ANY HIVE WEBSITE, APPLICATION, OR SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SITE OR SERVICES.
IMPORTANT NOTICE REGARDING DISPUTE RESOLUTION:
THIS AGREEMENT CONTAINS A BINDING ARBITRATION CLAUSE AND A CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. PLEASE REVIEW SECTION 22 CAREFULLY. YOU MAY OPT OUT OF ARBITRATION AS DESCRIBED IN SECTION 22.10.
1. WHO WE ARE; SCOPE OF THESE TERMS
These Terms of Use ("Terms") are a legal agreement between you and Synapse Mobility, Inc., a Delaware corporation ("Hive," "we," "us," "our").
These Terms govern your access to and use of:
- Our websites (including https://hiveinspect.com and any subdomains) (the "Website");
- Our web applications, dashboards, and portals (the "Web App");
- Our mobile applications (the "Apps");
- Any content, documentation, training materials, interactive features, or communications made available through any of the above (collectively, the "Site");
- Any software, tools, and subscription services provided through the Site (the "Services").
If you purchase a paid subscription, your use is also governed by our Subscription Agreement, any Order Forms, plan terms, or additional policies that we publish or reference (collectively, "Additional Terms"). The Subscription Agreement controls only as to fees, billing, renewals, refunds, free trials, and confidentiality; for every other subject (including the Limitation of Liability, Governing Law, and Arbitration and Class Action Waiver sections) these Terms control.
2. ACCEPTANCE; ELECTRONIC SIGNATURES; UPDATES
2.1 Acceptance
You accept these Terms by:
- clicking "I agree," "Accept," or similar buttons;
- creating an account; or
- accessing or using any part of the Site or Services.
2.2 Electronic Communications and Signatures
You agree that:
- communications from Hive may be electronic (email, in-app messages, notices on the Site);
- electronic signatures and acceptances have the same legal effect as written signatures;
- you are responsible for maintaining copies of your records.
2.3 Changes to These Terms
We may modify these Terms from time to time. Unless prohibited by law:
- changes are effective when posted;
- your continued use after changes become effective constitutes acceptance.
If we make a material change to the Arbitration or Class Action Waiver section, we will provide notice and, where required, an opportunity to opt out.
3. PRIVACY AND DATA PROCESSING
Your use of the Site and Services is subject to our Privacy Policy, which is incorporated by reference. If you enable text messaging features, our SMS Messaging Policy also applies and is incorporated by reference.
You understand that the Services may involve processing data related to inspections and clients (including Homebuyers), and you agree to comply with all applicable privacy laws when using the Services.
If you are an Inspector (or otherwise using the Services for business), you represent and warrant that you have provided all required notices and obtained all required consents from your clients to collect, use, and share information via the Services.
4. ELIGIBILITY
You represent and warrant that:
- you are at least the age of majority in your jurisdiction (and at least 18);
- you have not been previously suspended or banned by Hive;
- you have authority to enter into these Terms; and
- if you use the Services on behalf of a company, you have authority to bind that entity.
5. ACCOUNTS; SECURITY; ACCESS CONTROL
5.1 Account Creation
Some features require an account. You must provide accurate information and keep it updated.
5.2 Credential Security
You are responsible for:
- maintaining the confidentiality of your credentials;
- all activities under your account (including by Authorized Users);
- promptly notifying us of suspected unauthorized access.
WE ARE NOT RESPONSIBLE FOR UNAUTHORIZED ACCESS CAUSED BY YOUR FAILURE TO PROTECT YOUR ACCOUNT CREDENTIALS.
5.3 Suspension and Investigations
We may suspend or restrict access if we believe:
- your account is compromised;
- your use violates these Terms;
- your use creates security risk or legal exposure;
- we are required to do so by law or a valid government request.
6. USING THE SERVICES; PROHIBITED CONDUCT
6.1 Permitted Use
You may access and use the Site and Services only for lawful purposes and in accordance with these Terms, the Documentation, and any Additional Terms.
6.2 Prohibited Activities
You may not (and may not permit anyone else to):
- reverse engineer, decompile, disassemble, or attempt to discover source code;
- copy, modify, translate, or create derivative works of the Services (except where expressly permitted);
- use the Services to develop, benchmark, or compete with Hive;
- scrape, crawl, harvest, or use automated means to access the Site without permission;
- bypass or interfere with security or rate limits;
- upload malware or harmful code;
- impersonate others or misrepresent affiliation;
- violate any law, regulation, or third-party rights;
- engage in abusive, harassing, threatening, or discriminatory conduct;
- perform penetration testing, vulnerability scanning, load testing, or similar activities without our prior written consent.
We may monitor usage to enforce these Terms and protect the Service.
7. HOME INSPECTION DISCLAIMER; NO PROFESSIONAL SERVICES
Hive provides software tools. Hive is not a home inspection company, does not provide inspection services, and does not supervise, direct, or control how inspectors perform inspections.
You acknowledge and agree:
- you are solely responsible for inspection services, findings, conclusions, compliance, licensing, and client relationships;
- Hive does not guarantee that any report, template, checklist, AI-generated suggestion, translation, or output is accurate, complete, or compliant with applicable standards;
- you must independently verify inspection outputs and use your professional judgment.
8. AI FEATURES; AUTOMATED OUTPUTS; TRANSLATIONS
Certain features may use machine learning or AI (e.g., summaries, defect narratives, voice-to-text, translation). You acknowledge:
- AI outputs may be incorrect, incomplete, biased, or unsuitable;
- you are responsible for reviewing, validating, and editing outputs before relying on or sharing them;
- Hive is not responsible for decisions made based on AI outputs.
If you enable automated messaging (email/SMS), you are responsible for compliance with applicable laws (including consent and opt-out requirements).
9. USER CONTENT; CUSTOMER DATA; LICENSES
9.1 Your Content
You may submit content, including inspection notes, photos, templates, communications, comments, and other materials ("User Content"). You retain ownership of your User Content as between you and Hive.
9.2 License to Hive
You grant Hive a worldwide, non-exclusive license to host, store, process, transmit, display, and create limited technical modifications to User Content solely to:
- operate and provide the Services;
- support users and troubleshoot;
- maintain security and integrity;
- improve performance and functionality;
- create Aggregated/De-identified analytics.
9.3 Responsibility for User Content
You are solely responsible for User Content and represent that:
- you have all rights and permissions to upload it;
- it does not violate third-party rights or law.
9.4 Removal
We may remove or restrict User Content that violates these Terms, poses risk, or is required to be removed by law.
10. COMMUNITY AND INTERACTIVE FEATURES (IF ANY)
If the Site includes forums, chat, groups, or community features:
- Hive does not endorse user statements;
- Hive may moderate or remove content at its discretion;
- community spaces are not official support channels unless explicitly stated.
11. THIRD-PARTY SERVICES; APP STORES
11.1 Third-Party Services
The Services may connect to third-party services (e.g., Google, Stripe). Third parties control their own products and terms. Hive is not responsible for Third-Party Services and disclaims liability for third-party outages, errors, or acts/omissions.
11.2 App Stores
If you download an App from Apple App Store or Google Play:
- the store is not a party to these Terms;
- the store may be a third-party beneficiary as required by store rules;
- you comply with applicable store terms.
12. FEES; SUBSCRIPTIONS; PAYMENTS
Paid features are governed by our Subscription Agreement and plan terms. If there is a conflict regarding fees, billing, renewals, refunds, or free trials, the Subscription Agreement controls; on all other subjects these Terms control.
13. INTELLECTUAL PROPERTY
13.1 Hive IP
The Site, Services, Documentation, designs, trademarks, and all related IP are owned by Hive or its licensors. All rights not expressly granted are reserved.
13.2 Limited Permission
You may not use Hive branding, logos, or trademarks without prior written permission, except as permitted by brand guidelines.
13.3 Feedback
If you provide feedback or suggestions, you grant Hive a perpetual right to use them without compensation.
14. COPYRIGHT AND DMCA POLICY
We respect intellectual property. If you believe content on the Site infringes your copyright, you may submit a DMCA notice to: [email protected] with:
- identification of the work;
- location of infringing material;
- your contact information;
- a good-faith statement;
- a statement under penalty of perjury;
- your signature.

We may terminate accounts of repeat infringers.
15. SECURITY; SERVICE AVAILABILITY
The Site may be interrupted, delayed, or unavailable. Hive does not guarantee uninterrupted operation. You are responsible for maintaining your own backups of critical data to the extent needed for your business.
You are responsible for obtaining internet access and compatible devices.
16. INTERNATIONAL USE; EXPORT CONTROLS
The Site is controlled from the United States. If you access it from other locations, you do so at your own risk and are responsible for compliance with local laws.
You may not use the Services in violation of U.S. export control or sanctions laws.
17. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
HIVE DOES NOT WARRANT THAT THE SITE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED OR THAT OUTPUTS (INCLUDING AI OUTPUTS OR TRANSLATIONS) WILL BE ACCURATE OR COMPLETE.
Some jurisdictions do not allow certain disclaimers; in those jurisdictions, disclaimers apply to the greatest extent permitted by law.
18. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
HIVE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR SUBSTITUTE SERVICES.
HIVE'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- (A) $100 USD, OR
- (B) THE AMOUNT YOU PAID TO HIVE FOR THE SERVICES IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
Some jurisdictions do not allow limitations; in such cases liability is limited to the greatest extent permitted by law.
19. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Hive and its affiliates, officers, directors, employees, and agents from any claims, liabilities, losses, damages, and expenses (including attorneys' fees) arising out of or relating to:
- your use of the Site or Services;
- your User Content or alleged infringement by your User Content;
- your inspection services, reports, or professional advice;
- your violation of these Terms or law;
- disputes between you and your clients or third parties.
20. TERMINATION
We may terminate or suspend your access at any time, with or without notice, for any reason, including violation of these Terms or risk to the Services.
Upon termination, you must stop using the Site. Sections intended to survive will survive, including IP, disclaimers, limitation of liability, indemnity, and dispute resolution.
21. GOVERNING LAW
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the arbitration provisions.
22. ARBITRATION; CLASS ACTION WAIVER
22.1 Agreement to Arbitrate
Except for excluded disputes below, any dispute arising from or relating to these Terms, the Site, or the Services will be resolved by binding individual arbitration.
22.2 Waiver of Jury Trial
YOU AND HIVE WAIVE ANY RIGHT TO A JURY TRIAL.
22.3 Class Action Waiver
DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS. NO CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTIONS ARE PERMITTED IN ARBITRATION OR COURT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
22.4 Exceptions
This arbitration section does not apply to:
- claims seeking injunctive relief for IP misuse;
- small claims court matters (if eligible);
- disputes that by law cannot be arbitrated.
22.5 Arbitration Rules
Arbitration will be administered by the American Arbitration Association ("AAA") under its applicable rules. A single arbitrator will decide the dispute.
22.6 Location
Unless the parties agree otherwise, arbitration will be conducted in Delaware or by remote proceedings as appropriate.
22.7 Fees
Fees are allocated under AAA rules, subject to any applicable consumer protections.
22.8 Confidentiality
The arbitration proceeding, filings, and award will be confidential to the extent permitted by law.
22.9 Time Limit
To the extent permitted by law, any claim must be brought within one (1) year after the claim arises, unless a longer period is required by applicable law.
22.10 Right to Opt Out
You may opt out of arbitration by sending written notice within 30 days of first accepting these Terms to:

Your notice must include: name, email, account identifier, address, and a statement that you opt out of arbitration.
23. SEVERABILITY; NO WAIVER
If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce any provision is not a waiver.
24. ENTIRE AGREEMENT; ASSIGNMENT
These Terms (and incorporated policies) constitute the entire agreement regarding Site use. You may not assign these Terms without Hive's written consent. Hive may assign these Terms in connection with a merger, acquisition, or sale of assets.
